Terms of Service

1. Acceptance of terms

By accessing or using Kelavo, you agree to be bound by these Terms of Service and by our Privacy Policy and Refund & Cancellation Policy, which form part of this agreement.

If you do not agree with any part of these terms, you should not use the service. If you are using Kelavo on behalf of a company or other organisation, you confirm you have authority to accept these terms on its behalf.

2. Description of service

Kelavo provides AI-powered tools to support freelance and agency business operations. The service currently includes six agents:

• Lead Scout — scores and prioritizes leads based on details you paste in.
• Proposal Agent — drafts proposals and matching contracts with e-signature.
• Project Manager — tracks milestones, deadlines, and deliverables once a contract is signed.
• Finance Agent — generates a professional invoice document for you to download and send yourself.
• Client Comms — drafts replies and status updates for your approval.
• Content & Brand Agent — turns completed projects into case studies.

3. Account registration

You must provide accurate and complete information when creating an account and keep it up to date. Accounts are for a single user; you may not share your login credentials with others.

You are responsible for maintaining the security of your account and for all activity that occurs under it. Tell us promptly if you believe your account has been accessed without your authorisation.

4. Subscription & billing

Kelavo is offered on monthly subscription plans, each including a set allowance of AI runs. A run is one AI agent action, such as drafting a proposal or scoring a lead.

Billing is processed monthly through LemonSqueezy, our merchant of record. Additional runs can be purchased as top-ups at $2 per 10 runs. Upgrades take effect immediately; downgrades take effect at the start of your next billing cycle.

Run allowances reset each billing cycle and do not roll over. Reaching your limit does not lock your account — manual tools remain available.

5. Acceptable use

You agree not to use Kelavo to:

• Send unlawful, deceptive, or unsolicited bulk outreach, or otherwise breach anti-spam laws that apply to you.
• Misrepresent AI-generated content as entirely human-written where disclosure is legally required.
• Infringe the intellectual property, privacy, or other rights of any third party.
• Attempt to reverse engineer, resell, or gain unauthorised access to the service or its underlying systems.
• Upload malicious code or interfere with the operation of the platform for other users.

6. AI-generated content disclaimer

Every proposal, message, contract, invoice, and case study drafted by a Kelavo agent requires your review and approval before it is sent, signed, downloaded, or published. No agent acts on your behalf without that approval.

AI output can contain errors, omissions, or inaccurate statements. You are responsible for reviewing content before approving it, and responsibility for any content you send or approve rests with you. Kelavo does not provide legal, financial, or tax advice, and AI-drafted contracts are not a substitute for advice from a qualified professional.

7. Data & client information

You retain ownership of the data you enter into Kelavo, including client details, project information, and documents.

You are responsible for having the appropriate rights and lawful basis to enter any third-party data into the platform, including any lead details you paste into Lead Scout. How we handle that data is described in our Privacy Policy.

8. Termination

You may cancel your subscription at any time; access continues until the end of your current billing period. Cancellation and refund details are set out in our Refund & Cancellation Policy.

We may suspend or terminate an account that breaches these terms, is used unlawfully, or creates risk to the service or other users. Where practical we will give notice and an opportunity to resolve the issue first.

9. Limitation of liability

Kelavo is provided on an "as is" and "as available" basis, without warranties of any kind to the extent permitted by law. We do not warrant that the service will be uninterrupted, error-free, or that AI output will be accurate or fit for a particular purpose.

To the maximum extent permitted by law, Kelavo's total liability arising out of or relating to the service is limited to the amount you paid us in the twelve months before the event giving rise to the claim. We are not liable for indirect, incidental, or consequential losses, including lost profits, lost business, or lost data.

10. Governing law

These terms are governed by the laws of the jurisdiction in which Kelavo is established, and any disputes will be subject to the exclusive jurisdiction of its courts. The governing jurisdiction is being finalised and this section will be updated before it takes effect.

11. Changes to these terms

We may update these terms as the service develops. When we make material changes we will update the date at the top of this page and notify account holders by email before the changes take effect. Continuing to use Kelavo after that point means you accept the revised terms.
